PRICE AND PAYMENT CLAUSE



价格条款在国际货物买卖中直接关系到双方当事人的经济利益和所承担的风险责任。在国际货物买卖中，合同作价主要有固定价格，滑动价格和后定价格三种方式，还应密切注意国际贸易术语的应用。合同中的价格条款的内容包括单价与总值两部分。规定价格条款时应注意合理确定商品的单价，防止偏高或偏低，选用适当的贸易术语，争取选择有利的计价货币，以免遭受币值变动带来的风险。



价格条款中要包括计价单位、货币名称、单位价格金额和价格术语。如：

USD 100 CIF London each dozen



每公吨690美元CIFC3纽约。（或：CIF 纽约包含3%的佣金）

USD690 per M/T CIFC3 New York (or CIF New York including 3% commission)



FOB 天津，净价每纸箱500美元。 USD 500 per carton FOB net Tianjin



单价为每箱200美元CIF波士顿。此价格不得调整。

Unit price USD100 per carton CIF Boston. No price adjustment shall be allowed.



每箱600美元CIF纽约。此价格为暂定价，于装运月份前20天由买卖双方另行协商确定价格。

USD 600 per carton CIF New York. This price is a provision price, which shall be determined through negotiation between the buyer and seller 20 days before the month of shipment.



如实际装运货物（芝麻）的含油量每增减1%，价格应相应增减1.5 %； 水分每增减1%，则价格相应增减1%。

Should the oil content of the goods (sesame seeds) actually shipped be 1 % higher or lower, the price will be accordingly increased or decreased by 1.5 %; Should the moisture of the goods actually shipped be !% higher or lower, the price will be accordingly decreased or increased by 1 %.



如交货前所使用的原料或零部件成本发生变化，卖方保留调整合同价格的权利。

The seller reserves the right to adjust the contract price if prior to delivery there is any substantial variation in the cost of raw materials or component par used.

佣金可以用文字表示

USD100 per kg CIF Marseilles including 2% commission 每公斤100美元CIF马赛含2%佣金



贸易术语后加注佣金的英文字母C 和佣金率

USD100 per kg CIFC 2% Marseilles



每公吨500美元CIFC3 纽约（或CIF纽约包含3%的佣金）

折扣的表示方法

用文字做具体表示 USD150 per metric ton FOB Shanghai including 3% discount

CIF 伦敦每公吨200美元，减2%折扣。

USD200 per M/T CIF London, less 2% discount.



用具体金额表示 USD150 per metric ton for discount



在贸易术语后加注折扣的缩写R (rebate) 或D (discount) 或A (allowance)

定金条款

30%定金，余款在货物发运前凭提单副本付清。

30% downpayments and balance paid before shipment with copy of B/L.



在设备基本设计审查结束后15个工作日内，买方向卖方支付合同总价的10%，计人民币 万元人民币。

Within 15 working days upon the end of the review on equipment design, the buyer should pay 10% of the total contract price to the seller, total sum of Yuan RMB.

买方在 日前向卖方电汇合同总金额 %的定金，如果买方履行了合同的各项义务，则定金在付款行议付的货款中扣减；否则定金不予退还。如果卖方未能履行合同义务，则应当将定金双倍返还给买方。

The buyer shall pay % of the total value of the cargo by T/T to the seller as the earnest money. In the case that the buyer fulfilled the obligations in the contract, the earnest money shall be deducted by the paying bank at the time of payment. Otherwise the earnest money shall not be returned. In the case that the seller failed to fulfill any obligation in the contract, the seller shall pay twice the earnest money to the buyer.



买方应在2010年8月10日前将全部货款以电汇方式预付给卖方。

The buyer shall pay all the sales proceeds in advance by T/T to reach the seller not later than Aug. 10, 2010.



买方在收到货物后15天内将全部货款用电汇付给卖方。

The buyer shall pay all the sales proceeds in advance by T/T in 15 days after receipt of the commodity.



买方应于收到货后7日内将全部货款电汇卖方。

The buyers shall pay the total value to the sellers with remittance by T/T within 7 days after arrival of goods.



买方凭卖方开具的即期跟单汇票，于第一次见票时立即付款，付款后交单。

Upon first presentation the buyer shall pay against documentary draft drawn by the seller at sight The shipping documents are to be delivered against payment only.



买方对卖方开具的见票后…天付款的跟单汇票，于第一次提示时应即予以承兑，并应于汇票到期日立即予以付款，付款后交单。

The buyer shall duly accept the documentary draft drawn by the seller at days upono first presentation and make payment on its maturity. The shipping documents are to be delivered against payment only.



买方对卖方开具的见票后…天付款的跟单汇票，于第一次提示时应即予以承兑，并应于汇票到期日立即予以付款，承兑后交单。

The buyer shall duly accept the documentary draft drawn by the seller at days upon first presentation and make payment on its maturity. The shipping documents are to be delivered against acceptance.



支付条款用于规定支付方式、时间、地点、信用、单据等问题。

买方应不迟于12月15日，将100%的货款用电汇预付至卖方。

The Buyer should pay 100% of the sale amount to the Seller in advance by telegraphic transfer not later than Dec. 15th.



买方通过卖方可接受的银行在装运前一个月开立以卖方为抬头的保兑的不可撤销的信用证，有效期至装运后15天。

The Buyer shall open a confirmation irrevocable L / C in favor of the Seller with / through the bank acceptable to the Seller, one month before the shipment



(1) 信用证方式：买方应在装运期前/合同生效后＿日，开出以卖方为受益人的不可撤销的议付信用证，信用证在装船完毕后＿日内到期。

Letter of Credit: The Buyer shall, ___ days prior to the time of shipment /after this Contract comes into effect, open an irrevocable Letter of Credit in favor of the Seller. The Letter of Credit shall expire ___ days after the completion of loading of the shipment as stipulated.



保兑的不可撤消的无追索权的以中国远洋运输公司为受益人的信用证，合同货物全部货款为美元，凭即期汇票并附运输单据向装运港的中国银行议付。

By confirmed, irrevocable L/C without recourse in favour of COSCO for the total value of the contracted goods in USD, payable at sight against presentation of shipping documents to the Bank of China in the port of loading.



买方应通过卖方所接受的银行于装运月份前30日开出不可撤销即期信用证，于装运日后20天在中国银行议付。

The buyer shall open through a bank acceptable to the sellers an irrevocable Sight letter of Credit in 30 days before the month of shipment and remain valid for negotiation in Bank of China until the 20 days after the date of shipment.



以不可撤销信用证，凭卖方开具的见票后 天付款的汇票议付，有效期为装运后15 天在中国到期。该信用证须于合同规定的装运月份前30天到达卖方。

By Irrevocable L/C available by seller’s documentary draft at ... days after sight, to be valid for negotiation in China until 15 days after date of shipment. The L/C must reach the seller 30 days before the contracted month of shipment.



买方于装船一个月前开立100%合同金额卖方可接受之不可撤消并由提单日起180天付款之信用证给卖方。

By an irrevocable Letter of Credit payable 180 days L/C from the date of B/L acceptable to the seller and opened within one month before Loading.



(2) 付款交单：货物发运后，卖方出具以买方为付款人的付款跟单汇票，按即期付款交单（D/P）方式，通过卖方银行及＿银行向买方转交单证，换取货物。

Documents against payment: After shipment, the Seller shall draw a sight bill of exchange on the Buyer and deliver the documents through Sellers bank and __ Bank to the Buyer against payment, i.e D/P. The Buyer shall effect the payment immediately upon the first presentation of the bill(s) of exchange.



(3) 承兑交单：货物发运后，卖方出具以买方为付款人的付款跟单汇票，付款期限为＿后＿日，按即期承兑交单(D/A＿＿日)方式，通过卖方银行及＿＿银行，经买方承兑后，向买方转交单证，买方在汇票期限到期时支付货款。

Documents against Acceptance: After shipment, the Seller shall draw a sight bill of exchange, payable___ days after the Buyers delivers the document through Seller’s bank and ___Bank to the Buyer against acceptance (D/A ___ days). The Buyer shall make the payment on date of the bill of exchange.



The buyers shall duly accept the documentary draft drawn by the sellers at ... days sight upon first presetation and make payment on its maturity. The shipping documents are to be delibered against acceptance.

买方对卖方开具的见票 天付款的跟单汇票，于提示时立即承兑，并应于汇票到期日付款，承兑后交单。



(4) 货到付款：买方在收到货物后＿天内将全部货款支付卖方（不适用于FOB、CRF、CIF术语）。

Cash on delivery (COD): The Buyer shall pay to the Seller total amount within ___ days after the receipt of the goods (This clause is not applied to the Terms of FOB, CFR, CIF).
